Terms of Service
Last updated: September 19, 2026
These Terms of Service (“Terms”) govern your access to and use of Podio Storage (the “Service”), operated independently as a Podio-connected backup product. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Podio Storage lets you authenticate with Podio via OAuth, create backup collections, run backups, browse snapshots, restore selected data to Podio, and export or import backup packs, subject to your plan limits. Features may change as we improve the product.
2. Independence from Podio
Podio Storage is not affiliated with, endorsed by, or sponsored by Podio, Citrix, or Cloud Software Group, except as an integration that uses Podio’s public APIs. Podio remains a separate service governed by Podio’s own terms and policies. You are responsible for complying with Podio’s terms and for the permissions you grant through OAuth.
3. Eligibility and accounts
You must be able to form a binding contract and must use an email address associated with a Podio account you are authorized to access. You are responsible for activity under your Podio Storage account and for keeping access to your email secure. Do not share verification codes or session credentials.
4. Your data and permissions
- You retain ownership of the Podio content you back up. You grant us a limited license to store, process, and transmit that content solely to provide the Service you request (backup, browse, restore, export, import, and support).
- You represent that you have the right to authorize access to the Podio organizations, spaces, and data you include in backups.
- Restoring data to Podio may create or modify items in Podio. You are responsible for reviewing restore targets and outcomes.
5. Acceptable use
You agree not to:
- Use the Service for unlawful, harmful, or fraudulent purposes;
- Attempt to gain unauthorized access to the Service, other accounts, or related systems;
- Interfere with or disrupt the Service, including by abusing rate limits or reverse-engineering in violation of law;
- Upload or restore content you do not have rights to process;
- Misrepresent your identity or affiliation, or use the Service in a way that violates Podio’s terms or applicable law.
We may suspend or terminate access for violations, abuse, non-payment, or risk to the Service or other users.
6. Plans, billing, and cancellations
Free and paid plans include different storage, retention, and scheduling limits. Paid subscriptions are billed through Stripe. Fees are generally non-refundable except where required by law or expressly stated otherwise. You can manage or cancel renewals through the billing portal in the product. Cancellation stops future renewals; access continues through the paid period already purchased unless otherwise stated.
7. Backups are not a guarantee
We strive to run reliable backups, but backups may be incomplete, delayed, or fail due to Podio API limits, network issues, permission changes, file availability, third-party outages, or configuration choices. You should not treat Podio Storage as your only copy of critical data. Periodically verify important backups and restores.
8. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT BACKUPS OR RESTORES WILL BE COMPLETE OR ACCURATE IN EVERY CASE.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PODIO STORAGE AND ITS OPERATORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE CLAIM OR (B) FIFTY U.S. DOLLARS (US$50). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
10. Indemnification
You agree to defend, indemnify, and hold harmless Podio Storage and its operators from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your Podio content, your violation of these Terms, or your violation of any third-party rights or Podio terms.
11. Termination
You may stop using the Service at any time. We may suspend or terminate the Service or your access with notice when reasonable, or immediately for material breach, abuse, legal risk, or non-payment. Upon termination, your right to use the Service ends, and we may delete account and backup data after a reasonable wind-down period, subject to our Privacy Policy and legal retention needs.
12. Changes to the Service or Terms
We may update the Service and these Terms. Material changes will be reflected on this page with an updated “Last updated” date. Continued use after changes become effective constitutes acceptance. If you do not agree, stop using the Service.
13. Governing law
These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law principles, except where mandatory consumer protections in your jurisdiction require otherwise.
